DropLocationNG® Terms of Service

In these Terms, the following words have the meanings set out below:

• –"Platform" means the DropLocationNG® web application, partner portal, and any related services or features.
• –"User" or "you" means any individual who accesses or uses the Platform, whether as a general visitor or registered account holder.
• –"Partner" means any business entity (event organiser, hotel, short-let provider, transport provider, restaurant, or other commercial entity) that registers on the Platform to submit or manage a listing.
• –"Listing" means any event, accommodation, transport provider, venue, or other content entry published on the Platform following admin review.
• –"Verified Badge" means the trust indicator displayed on listings that have completed DropLocationNG's manual verification process.
• –"Content" means all text, images, documents, data, and other material submitted to or published on the Platform.
• –"Partner Submission" means the application submitted by a Partner through the partner onboarding portal.
• –"Registered Trademark" means the name and mark "DropLocationNG®" as registered at IPONIG in Classes 39, 41, and 42.

By using the Platform, you represent and warrant that:

• –You are at least 18 years of age, or are accessing the Platform under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.
• –You have the legal capacity to enter into a binding agreement under the laws of Nigeria or your country of residence.
• –If you are registering on behalf of a business entity, you have the authority to bind that entity to these Terms.
• –You will not use the Platform for any unlawful purpose or in any manner inconsistent with these Terms.

The DropLocationNG® name, logo (the pin-keyhole mark), brand identity, and all associated visual assets are the registered intellectual property of Cardinal & Oakridge Limited, protected under Nigerian trademark law and the IPONIG registration in Classes 39, 41, and 42.

• –You may not use the DropLocationNG® name, mark, or visual identity — in whole or in part — without prior written consent from Cardinal & Oakridge Limited. Unauthorised use constitutes trademark infringement under the laws of the Federal Republic of Nigeria.
• –You may not reproduce, distribute, modify, or commercially exploit any content from the Platform without prior written consent.
• –You may not use the Verified Badge or any facsimile of it on content, products, or services not approved by DropLocationNG®.

This Section 6 applies specifically to business Partners who submit listings or register via the Partner Submission Portal. General visitors should also read this section as it explains how listings are verified and the limitations of that verification.

You must not use the Platform to:

• –Post, submit, or distribute false, misleading, or fraudulent information
• –Impersonate any person, business, or regulatory body
• –Interfere with or disrupt the operation of the Platform or its underlying infrastructure
• –Scrape, harvest, or extract data from the Platform using automated means without our written consent
• –Reverse engineer, decompile, or attempt to access the source code of the Platform
• –Use the Platform to promote, facilitate, or engage in any unlawful activity
• –Submit listings for events or services that do not hold the required regulatory permits or approvals
• –Contact other users or Partners outside the Platform for commercial solicitation without consent
• –Upload or transmit viruses, malware, or any other harmful code

DropLocationNG® provides safety information, including emergency contacts, area-specific safety guidance, scam awareness content, and venue safety indicators, as a good-faith service to users.

The following important limitations apply to all safety-related content on the Platform:

• –Safety information is provided for general guidance only and is not a substitute for personal judgment, local advice, or professional security assessment.
• –DropLocationNG® does not guarantee the accuracy, completeness, or currency of any safety information. Conditions in Nigeria can change rapidly.
• –The presence of a Verified Badge or safety status indicator on a venue listing does not certify that the venue is safe or compliant with all applicable safety regulations.
• –DropLocationNG® is not responsible for incidents, accidents, losses, injuries, or harm arising from attendance at any listed event, use of any listed transport service, or stay at any listed accommodation.
• –Emergency contact information is provided as a convenience. Always exercise personal judgment and contact local emergency services directly in an emergency.

The Platform contains links to third-party websites and services, including ticketing platforms, accommodation booking sites, and transport provider contact methods (including WhatsApp links). These links are provided for your convenience only.

DropLocationNG® has no control over the content, practices, or policies of third-party websites. We are not responsible for the availability, accuracy, legality, or appropriateness of third-party content. Your use of any third-party service is subject to that service's own terms and privacy policy.

DropLocationNG® does not endorse and makes no warranties or representations regarding any third-party products, services, or providers, notwithstanding their inclusion as listings on the Platform.

To the fullest extent permitted by applicable Nigerian law, DropLocationNG® and Cardinal & Oakridge Limited, including their directors, officers, employees, and agents, shall not be liable for:

• –Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform
• –Any loss of data, revenue, profit, goodwill, or opportunity
• –Any harm, injury, loss, or damage arising from attendance at a listed event, use of a listed transport service, or stay at a listed accommodation
• –Any inaccuracies, omissions, or errors in listing content submitted by Partners
• –Any cancellation, postponement, or change to a listed event by its organiser
• –Any loss arising from your reliance on safety information published on the Platform
• –Any third-party services accessed via links or referrals on the Platform

Where liability cannot be entirely excluded under applicable law, our total aggregate liability to you in connection with the Platform shall not exceed NGN 50,000 (fifty thousand naira) or the total amount paid by you to DropLocationNG® in the 12 months preceding the event giving rise to the claim, whichever is lower.

You agree to indemnify, defend, and hold harmless DropLocationNG® and Cardinal & Oakridge Limited, together with their directors, officers, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• –Your use of the Platform in breach of these Terms
• –Any content you submit to the Platform
• –Any misrepresentation made by you in connection with a Partner submission
• –Your violation of any applicable law or regulation
• –Any dispute between you and another user or Partner

DropLocationNG® provides an issue reporting function to allow users to flag concerns including suspected scams, cancelled bookings, unsafe venues, and transport problems. Submission of a report does not constitute a contractual obligation on DropLocationNG® to investigate, remediate, or take any specific action, although we will review all reports in good faith.

Issue reports must be made honestly and in good faith. Submitting false or malicious reports that could damage the reputation of a legitimate business may constitute a breach of these Terms.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising from or in connection with these Terms or the Platform shall first be referred to the DropLocationNG® support team at hello@droplocationng.com with a view to resolution within 30 days. If the dispute cannot be resolved informally, the parties agree to submit to the exclusive jurisdiction of the courts of Nigeria.
